Scope & Commercial Applicability
These Terms of Engagement ("Terms") constitute a legally binding agreement between the buyer or commercial client ("Buyer") and GDM Diamond Tools ("Company", "GDM", "We", "Us"), governing all inquiries, commercial quotations, sales contracts, purchase orders, and shipments of HPHT synthetic diamond powders, diamond mesh series, Cubic Boron Nitride (CBN) abrasives, and related superabrasive products.
Any variance, amendment, or additional terms proposed in Buyer purchase order forms that conflict with these Terms are expressly rejected unless formally executed in writing by an authorized representative of GDM Diamond Tools.
Product Specifications & Sizing Tolerances
GDM manufactures, classifies, and grades superabrasive products according to international industrial sizing standards, specifically FEPA, ANSI B74.16, and ISO 6106 standard specifications.
Particle Size Distribution (PSD) Commitment: All micron and mesh diamond/CBN shipments are accompanied by a lot-specific Certificate of Analysis (COA) generated via Coulter Multisizer or Malvern Mastersizer laser diffraction. Acceptable tolerance ranges for D10, D50, and D90 parameters are defined in the specific product data sheet attached to the commercial quotation.
Discrepancies in particle size measurements conducted by Buyer laboratories must utilize equivalent calibration standards and dispersion liquid protocols as specified in GDM's quality assurance documentation.
Quotations, Pricing & Payment Terms
All written commercial quotations issued by GDM Diamond Tools remain valid for thirty (30) calendar days from the date of issue unless specified otherwise. Prices are quoted in USD, EUR, or INR depending on the designated buyer jurisdiction.
- Standard Payment Methods: International Telegraphic Transfer (T/T Wire), Irrevocable Commercial Letter of Credit (L/C at sight) opened through a tier-1 international bank, or direct banking transfer.
- Advance Payment: First-time buyers or non-contracted orders require 100% advance payment prior to dispatch unless credit terms have been formally approved.
- Taxes & Duties: Prices exclude local import duties, customs tariffs, VAT, or local taxes levied in the destination country, which remain the sole responsibility of the Buyer.
Custom Synthesis & Tailored Formulations
Orders requiring custom HPHT synthesis, specialized narrow-band micron sizing, or custom metal matrix coatings (such as Nickel, Copper, or Titanium plating) carry a mandatory minimum order quantity of 1,000 carats.
Once a custom production run has commenced following Buyer purchase order confirmation and advance deposit, the order is non-cancellable and non-refundable.
Delivery, Shipping & Risk of Loss
Shipments originate from GDM Diamond Tools manufacturing facility in Katargam, Surat, Gujarat, India. Shipping terms are agreed upon per transaction according to Incoterms 2020 rules (typically FOB Surat/Mumbai, CIF Destination Airport, or DAP Destination Facility).
Risk of loss or damage to goods passes to the Buyer upon transfer of shipment to the designated carrier or freight forwarder. Delivery dates provided in quotations are estimated in good faith based on current raw material availability and carrier schedules.
Quality Inspection, Claims & Return Protocol
The Buyer must conduct incoming quality verification of received superabrasive shipments within fourteen (14) calendar days of delivery at destination.
Defect Notification Protocol: In the event of alleged non-conformance with agreed COA specifications or physical container damage, Buyer must notify GDM in writing within the 14-day window, providing batch lot numbers, lab PSD test data, and sample retention containers. Unused material must remain in original GDM sealed anti-static bottles.
If a specification discrepancy is validated upon re-testing of retained factory samples by an independent accredited laboratory, GDM's sole obligation shall be to replace the non-conforming quantity free of charge or issue a credit note for the purchase value.
Intellectual Property & Technical Datasheets
All technical datasheets, chemical compositions, micron classification algorithms, trade secrets, logos, trademarks, and documentation published on GDM Diamond Tools website or provided in sales material remain the exclusive intellectual property of GDM Diamond Tools.
Buyers are granted a non-exclusive license to use GDM product designations solely for internal manufacturing, tool fabrication, and end-use marketing of tools containing GDM superabrasive ingredients.
Limitation of Liability & Force Majeure
To the maximum extent permitted by applicable law, GDM Diamond Tools shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of production uptime, machine downtime, lost profits, or third-party tool failure claims arising out of the use or inability to use our superabrasive materials.
Neither party shall be liable for delay or failure to perform obligations caused by events beyond reasonable control ("Force Majeure"), including acts of God, extreme weather, raw material export embargoes, power grid outages, or international shipping disruptions.
Governing Law & Dispute Resolution
These Terms, and all commercial contracts executed between GDM Diamond Tools and Buyer, shall be governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles.
Any legal action, arbitration, or commercial dispute arising under or in connection with these Terms shall fall under the exclusive jurisdiction of the competent courts in Surat, Gujarat, India.
